1. Introduction

These terms and conditions ("these Terms") form a legally binding agreement between you (the "Creator") and Credders Ltd ("Credders", "we", "us", or "our").

By creating a Creator account or using the Credders platform (the "Platform"), you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, you must not use the Platform.

Credders provides an online platform that allows creators to build professional profiles, showcase experience and credentials, mark availability, and receive invitations from organisations seeking to engage them for work, events or collaborations.

These is a business-to-consumer agreement. You are treated as a consumer for the purposes of the Consumer Rights Act 2015 and other applicable UK consumer protection legislation, unless you are acting in the course of a trade, business, craft or profession.

2. Definitions

  • Content means any text, images, documents, links or other material you upload or submit to the Platform.
  • Engagement means any work, project, event, collaboration or other arrangement between you and an Organisation arising from contact made on the Platform.
  • Organisation means a user of the Platform acting in a business capacity who searches for, shortlists or invites Creators.
  • Verification means the process by which Credders reviews evidence submitted by you to confirm identity, experience, credentials or other attributes displayed on your profile.

3. Your Account

3.1 Eligibility

You must be at least 16 years old to create a Creator account. If you are under 18, you confirm that you have the consent of a parent or legal guardian, and that they have read and accepted these Terms on your behalf.

3.2 Accurate Information

You agree to provide accurate, current and complete information when creating your account and maintaining your profile. You must keep your account credentials confidential and are responsible for all activity under your account.

3.3 One Account Per Person

You may only create one Creator account. You must not create an account on behalf of another person or impersonate another individual.

4. Using Credders

4.1 Permitted Use

You may use the Platform to build and maintain a professional profile, communicate with Organisations through Platform messaging, receive and respond to invitations, and otherwise use features as made available by Credders.

4.2 Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful, fraudulent or deceptive purpose;
  • Submit false, misleading or inaccurate information, including in relation to your experience or credentials;
  • Harass, threaten or abuse other users;
  • Attempt to contact Organisations outside the Platform to avoid Platform features, where such contact is intended to circumvent safety or verification processes;
  • Upload Content that infringes the intellectual property or privacy rights of any third party;
  • Introduce viruses, malware or any other malicious code;
  • Reverse engineer, scrape or attempt to access non-public parts of the Platform;
  • Resell, sublicense or charge others for access to the Platform without our written permission.

4.3 Not an Agency or Employer

Credders is a platform provider only. We are not a party to any Engagement between you and an Organisation. We do not employ you, act as your agent, and do not guarantee that you will receive any invitations or work.

5. Your Content

5.1 Ownership

You retain ownership of all Content you submit to the Platform. You remain solely responsible for your Content and for ensuring that it is accurate, lawful and does not infringe the rights of any third party.

5.2 Licence to Credders

You grant Credders a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, display and distribute your Content on and through the Platform for the purpose of operating, promoting and improving the Platform and our services.

5.3 Display on Public Profiles

If your profile is published, certain Content may be visible to other Platform users and, where applicable, to the public. You are responsible for any Content you choose to make public.

5.4 Removal of Content

We may remove or restrict any Content that we believe breaches these Terms, applicable law or the rights of third parties. We may also remove Content in response to a valid complaint.

6. Verification

Verification is an optional feature that allows you to strengthen your profile by submitting evidence for review by Credders. Verification does not constitute an endorsement, warranty or guarantee of your character, competence, work quality or suitability for any Engagement.

You acknowledge that Verification is based solely on the evidence you provide at the time of review and may become outdated. We may revoke a Verification status if we later determine that the underlying evidence was inaccurate, false or no longer valid.

You agree to provide genuine, unaltered evidence when submitting a Verification request. Submitting false or forged documents may result in immediate suspension of your account.

7. Invitations & Engagements

Organisations may invite you to work, events or collaborations through the Platform. Any Engagement you accept is a direct arrangement between you and the Organisation.

You are solely responsible for negotiating and agreeing the terms of any Engagement, including scope, payment, schedule and deliverables. Credders is not a party to any such agreement and has no liability for the performance or non-performance of either party.

We strongly encourage you to put Engagement terms in writing and to carry out your own due diligence on any Organisation before accepting work.

8. Fees

Creating and maintaining a Creator account is currently free of charge. We may introduce paid features or subscription plans in the future. Where any fee applies, it will be clearly disclosed before you are charged, and your continued use of the relevant feature constitutes acceptance of the applicable fee.

If we introduce fees for features that were previously free, we will give you at least 30 days' notice. You will not be charged unless you choose to continue using the paid feature.

9. Intellectual Property

The Platform, including its design, software, branding and features, is owned by Credders and protected by intellectual property laws. You must not copy, modify, distribute or create derivative works from the Platform without our written permission.

Credders, the Credders logo and related marks are our trademarks. You must not use them without our prior written consent.

10. Your Data

We process your personal data in accordance with our Privacy Policy, which is incorporated into these Terms by reference. You should read the Privacy Policy to understand how we collect, use and protect your data.

Under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, you have rights including access, rectification, erasure and objection. To exercise these rights, contact us using the details in Section 15.

11. Limitation of Liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

Subject to the above, and to the extent permitted by law:

  • The Platform is provided on an "as is" and "as available" basis. We do not warrant that the Platform will be uninterrupted, error-free or free of harmful components;
  • To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with these Terms, whether in contract, tort (including negligence) or otherwise, shall not exceed the greater of (a) £100, or (b) the total fees you have paid to Credders in the 12 months preceding the event giving rise to the claim;
  • We are not liable for any indirect, incidental, special or consequential loss or damage, including loss of profit, loss of business, loss of reputation or loss of opportunity;
  • We are not liable for the acts or omissions of other users, including Organisations, or for any Engagement or the outcome of any Engagement;
  • We are not liable for any failure or delay caused by circumstances beyond our reasonable control.

12. Suspension & Termination

You may close your account at any time by contacting us using the details in Section 15.

We may suspend or terminate your account, or restrict access to certain features, where:

  • You breach these Terms or we reasonably suspect you have done so;
  • You provide false or misleading information, including in Verification submissions;
  • Your conduct, in our reasonable opinion, harms or may harm the Platform, other users or Credders;
  • We are required to do so by law, regulation or order of a court or regulator.

We will give you reasonable notice and an opportunity to remedy a breach where possible and appropriate, except where urgent action is necessary to protect the Platform, other users or third parties.

Upon termination, your licence to use the Platform ends. Sections that by their nature should survive termination (including intellectual property, liability, governing law and disputes) will remain in effect.

13. Changes to These Terms

We may update these Terms from time to time. Where changes affect your rights or obligations, we will notify you by email or through the Platform at least 30 days before the changes take effect.

If you continue to use the Platform after the effective date, you are deemed to accept the updated Terms. If you do not agree, you may close your account as described in Section 12.

14. Governing Law & Disputes

These Terms are governed by the laws of England and Wales.

Any dispute arising out of or in connection with these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where you have a statutory right to bring proceedings in the courts of the country in which you are habitually resident (for consumers outside England and Wales).

Before taking legal action, we encourage both parties to attempt to resolve the dispute informally. You may also use the UK Online Dispute Resolution platform at webgate.ec.europa.eu/odr for consumer disputes with traders established in the EU.
