Organisation Terms & Conditions

1. Introduction

These terms and conditions ("these Terms") form a legally binding agreement between you (the "Organisation") and Credders Ltd ("Credders", "we", "us", or "our").

By creating an Organisation account or using the Credders platform (the "Platform"), you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, you must not use the Platform.

Credders provides an online platform that allows organisations to search for, discover, shortlist and invite creators for work, events, collaborations and other engagements.

This is a business-to-business agreement. You confirm that you are acting in the course of a trade, business, craft or profession. The consumer protection provisions of the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 do not apply to these Terms.

2. Definitions

• Creator means a user of the Platform who builds and maintains a professional profile and may receive invitations from Organisations.
• Engagement means any work, project, event, collaboration or other arrangement between you and a Creator arising from contact made on the Platform.
• Content means any text, images, documents, links or other material you upload or submit to the Platform.
• Verification means the process by which Credders reviews evidence submitted by a Creator to confirm identity, experience, credentials or other attributes displayed on their profile.

3. Your Account

3.1 Authority to Bind Your Organisation

By creating an Organisation account, you confirm that you are authorised to act on behalf of the organisation named in your account, and that you have the authority to bind that organisation to these Terms.

3.2 Accurate Information

You agree to provide accurate, current and complete information about your organisation when creating your account and maintaining your profile. You must keep your account credentials confidential and are responsible for all activity under your account.

3.3 One Account Per Organisation

Each organisation may maintain one Organisation account. You must not create multiple accounts for the same organisation without our written consent.

4. Using Credders

4.1 Permitted Use

You may use the Platform to search for Creators, build shortlists, send and receive messages, issue invitations, and manage events and connections with Creators.

4.2 Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful, fraudulent or deceptive purpose;
• Discriminate against any Creator on the basis of a protected characteristic under the Equality Act 2010;
• Harass, threaten, intimidate or abuse any Creator or other user;
• Use Creator contact details obtained through the Platform to send unsolicited marketing or to circumvent Platform safety or verification features;
• Scrape, export or copy Creator data for use outside the Platform without our written permission;
• Misrepresent your organisation, its identity, or the nature of any Engagement you offer;
• Introduce viruses, malware or any other malicious code;
• Reverse engineer, decompile or attempt to access non-public parts of the Platform;
• Resell, sublicense or charge others for access to the Platform without our written permission.

5. Search & Discovery

The Platform provides search and filtering tools to help you identify Creators who may be suitable for your needs. Search results are based on the information Creators have provided and the filters you apply. We do not warrant that any Creator is suitable, available or capable of performing any Engagement.

Verification badges displayed on a Creator's profile indicate that Credders has reviewed evidence submitted by that Creator at a point in time. Verification is not an endorsement, warranty or guarantee of a Creator's character, competence, work quality, reliability or suitability for any Engagement.

You must carry out your own due diligence before engaging any Creator, including checking references, confirming availability and agreeing written terms.

6. Invitations & Engagements

You may invite Creators to work, events or collaborations through the Platform. Any Engagement that results is a direct arrangement between you and the Creator.

Credders is not a party to any Engagement. We do not act as your agent, employer of record or intermediary, and we have no liability for the performance or non-performance of either party to an Engagement.

You are solely responsible for:

• Negotiating and agreeing the terms of any Engagement, including scope, payment, schedule and deliverables;
• Ensuring compliance with all applicable laws, including employment status, tax, health and safety, insurance and data protection;
• Obtaining any necessary visas, permits, accreditations or venue access passes for a Creator;
• Payment of Creators in accordance with the terms you agree with them.

7. Conduct Toward Creators

You agree to engage with Creators professionally and lawfully at all times. You must not:

• Request work, services or content without agreeing fair and reasonable compensation;
• Impose unfair, onerous or unreasonable terms on a Creator;
• Use a Creator's Content, name or likeness beyond the scope agreed in the Engagement;
• Retain or use a Creator's personal data contrary to applicable data protection law.

We may take action against your account if we receive credible reports of conduct that harms Creators or the Platform community.

8. Fees & Payment

Creating and maintaining an Organisation account is currently free of charge. We may introduce paid features, subscription plans or transaction fees in the future. Where any fee applies, it will be clearly disclosed before you are charged.

Unless otherwise agreed in writing, all fees are exclusive of VAT. Invoices are payable within 30 days of issue. Late payments may attract interest at 4% per annum above the Bank of England base rate, calculated daily, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

9. Intellectual Property

The Platform, including its design, software, branding and features, is owned by Credders and protected by intellectual property laws. You must not copy, modify, distribute or create derivative works from the Platform without our written permission.

Credders, the Credders logo and related marks are our trademarks. You must not use them without our prior written consent.

You retain ownership of any Content you submit to the Platform. You grant us a worldwide, non-exclusive, royalty-free licence to host and display your Content on the Platform for the purpose of operating and promoting the Platform.

10. Data Protection

We process your personal data in accordance with our Privacy Policy, which is incorporated into these Terms by reference.

Where you process personal data of Creators obtained through the Platform, you are acting as an independent data controller. You agree to comply with your obligations under the UK GDPR and the Data Protection Act 2018, including having a lawful basis for processing and appropriate data processing agreements in place where required.

You must not use Creator personal data obtained through the Platform for any purpose other than evaluating, contacting and engaging Creators through or in connection with the Platform.

11. Limitation of Liability

As this is a business-to-business agreement, and to the maximum extent permitted by law:

• The Platform is provided on an "as is" and "as available" basis. We do not warrant that the Platform will be uninterrupted, error-free or free of harmful components;
• We make no warranty that any Creator is suitable, available, qualified or capable of performing any Engagement;
• Our total aggregate liability arising out of or in connection with these Terms, whether in contract, tort (including negligence) or otherwise, shall not exceed the greater of (a) £500, or (b) the total fees you have paid to Credders in the 12 months preceding the event giving rise to the claim;
• Neither party shall be liable for any indirect, incidental, special or consequential loss or damage, including loss of profit, loss of business, loss of revenue, loss of anticipated savings, loss of reputation or loss of opportunity;
• We are not liable for the acts or omissions of Creators or any other users, or for the outcome of any Engagement;
• We are not liable for any failure or delay caused by circumstances beyond our reasonable control.

12. Suspension & Termination

You may close your account at any time by contacting us using the details in Section 15. You remain responsible for any fees accrued up to the date of closure.

We may suspend or terminate your account, or restrict access to certain features, where:

• You breach these Terms or we reasonably suspect you have done so;
• You provide false or misleading information about your organisation;
• Your conduct, in our reasonable opinion, harms or may harm the Platform, Creators or other users;
• We receive credible reports of unlawful or harmful conduct toward Creators;
• We are required to do so by law, regulation or order of a court or regulator.

As this is a business-to-business agreement, we may terminate these Terms for convenience by giving you 30 days' written notice. Upon termination, your licence to use the Platform ends. Sections that by their nature should survive termination will remain in effect.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Platform at least 30 days before the changes take effect. If you continue to use the Platform after the effective date, you are deemed to accept the updated Terms.

14. Governing Law & Disputes

These Terms are governed by the laws of England and Wales.

Any dispute arising out of or in connection with these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before commencing proceedings, the parties shall attempt to resolve any dispute by good-faith negotiation. Either party may refer a dispute to mediation under the Centre for Effective Dispute Resolution (CEDR) Model Mediation Procedure.
